ESG Incorporation in Private Credit: From Disclosure to Engagement

Private credit managers are under growing pressure to show what ESG incorporation means in practice. Investors want evidence, regulators are scrutinising sustainability claims, and borrowers must navigate an increasingly complicated reporting environment.
Private credit gives lenders a distinctive form of influence. Unlike shareholders, they generally cannot vote at company meetings. However, they can engage directly with borrowers, negotiate loan terms, request information and monitor agreed indicators throughout the life of a loan.
Four stewardship levers in private credit
In 2025, the Principles for Responsible Investment (PRI) identified four practical stewardship tools for private debt.
1. Training and resource sharing
European mid-market businesses may lack dedicated teams for responding to changing sustainability expectations. Lenders can help by sharing expertise on subjects such as carbon measurement, supply-chain management and artificial intelligence.
2. Ongoing dialogue and engagement
ESG incorporation should not stop when a loan is originated. Regular reviews, data-platform training, questionnaires and scorecards can help lenders monitor risks and identify gaps.
3. Suistainable -related covenants and margin ratchets.
Embed ESG requirements or incentives in loan documentation. Covenants can require reporting or specific actions, while margin ratchets adjust the interest rate according to performance against measurable ESG KPIs
4. Advocacy and collaborative engagement
Work with other lenders, sponsors, industry bodies, and policymakers to establish common reporting standards, share good practices, and raise stewardship expectations across private-credit markets.
Regulation is raising the standard for ESG communication
In the UK, the FCA’s anti-greenwashing rule has applied to all authorised firms since 31 May 2024. Sustainability-related claims about financial products and services must be consistent with their actual characteristics and must be fair, clear and not misleading. Naming and marketing requirements for UK fund managers followed on 2 December 2024. The FCA explains the regime and implementation dates.
EU requirements are also evolving. On 20 November 2025, the European Commission proposed amendments to the Sustainable Finance Disclosure Regulation. The proposal seeks to simplify disclosures and address the regulation’s unintended use as a de facto product-labelling system. It is a legislative proposal, not yet an enacted replacement for the existing SFDR framework. The European Commission outlines the proposed changes.
Explainer videos for finance with evidence-led storytelling
Private-credit ESG communication contains several layers: investment governance, borrower engagement, data collection, pricing mechanisms and regulation. Presented as a page of terminology, the subject can become difficult to follow.
Client Case study: Visualising Pemberton’s four stewardship levers
Pemberton wanted to explain how governance and sustainability considerations are incorporated into its direct-lending activities. The communication challenge was to turn a portfolio-wide investment process—containing data, contractual mechanisms and industry collaboration—into a concise narrative for investment professionals and other informed stakeholders.
